1. Account Registration
1.1 Eligibility. You must be at least 13 years of age to use the Service. If you are under 18, you must have a parent or guardian’s consent. By creating an account, you represent that you are legally eligible to enter into a binding contract.
1.2 Accuracy of Information. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
1.3 Account Security. WordVibe uses industry-standard security measures, but we cannot guarantee absolute security. You must notify us immediately at security@wordvibe.io of any unauthorized use of your account.
2. Acceptable Use
2.1 Compliance. You agree to use the Service in compliance with all applicable local, state, national, and international laws and regulations.
2.2 Prohibited Conduct. You agree not to:
- Use the Service for any unlawful purpose or to solicit others to perform unlawful acts.
- Violate any intellectual property rights, including copyrights, trademarks, or patents.
- Transmit any worms, viruses, or other malicious code that may disrupt or damage the Service.
- Interfere with or circumvent the security features of the Service, including attempting to probe, scan, or test the vulnerability of any system.
- Engage in any activity that imposes an unreasonable or disproportionately large load on our infrastructure.
- Use the Service to generate or distribute unsolicited communications (spam).
2.3 Enforcement. We reserve the right, but have no obligation, to review and monitor content to ensure compliance with these Terms. We may suspend or terminate your access if we determine, in our sole discretion, that you have violated this Acceptable Use Policy.
3. Intellectual Property
3.1 WordVibe IP. The WordVibe plugin, including its source code, design, layout, graphics, and documentation, is owned by WordVibe, Inc. and its licensors. It is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the plugin solely for your legitimate business or personal websites.
3.2 User Content. You retain all rights to any content you create using WordVibe ("User Content"). By submitting User Content, you grant WordVibe a worldwide, royalty-free, non-exclusive license to host, store, and display such content solely for the purpose of providing the Service to you.
3.3 Feedback. If you provide us with any suggestions, improvement ideas, or other feedback, we may use such feedback without any obligation to you.
4. Payment & Subscriptions
4.1 Fees. Paid plans are billed in advance on a monthly or annual basis, as selected by you. All fees are exclusive of applicable taxes, which you are responsible for paying.
4.2 Auto-Renewal. Unless you cancel before the end of the current billing period, your subscription will automatically renew for the same duration and at the then-current rate. You authorize us to charge the payment method on file for the renewal.
4.3 Price Changes. We reserve the right to change our fees upon 30 days’ advance notice. Price changes will take effect at the start of the next billing period following the notice period.
4.4 Refunds. Fees paid are non-refundable except as expressly stated in our Cancellation Policy or as required by applicable law.
5. Cancellation Policy
5.1 How to Cancel. You may cancel your subscription at any time through your account dashboard or by contacting billing@wordvibe.io.
5.2 Effect of Cancellation. Cancellation takes effect at the end of your current paid billing period. You will retain access to the paid features until the end of that period. No partial refunds will be provided for the remaining days of the billing cycle.
5.3 Data Retention. After cancellation, you may export your content. WordVibe may retain your data for up to 30 days following the end of your billing period, after which it may be permanently deleted, subject to our legal obligations.
6. Limitation of Liability
6.1 Disclaimer of Warranties. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WORDVIBE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
6.2 Limitation of Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WORDVIBE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
6.3 Total Liability. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO WORDVIBE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
7. Termination
7.1 By WordVibe. We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, if you breach any provision of these Terms. Grounds for termination include, but are not limited to, violation of the Acceptable Use Policy, non-payment of fees, or any action that threatens the security or integrity of the Service.
7.2 Effect of Termination. Upon termination, your right to use the Service ceases immediately. We will not be liable to you or any third party for termination of access. Provisions of these Terms that by their nature should survive termination, including Intellectual Property, Limitation of Liability, and Governing Law, shall survive.
8. Governing Law
8.1 Jurisdiction. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
8.2 Disputes. Any disputes arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware. You consent to the personal jurisdiction of these courts and waive any objection to venue.
8.3 Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
